Terms & Conditions
1. Introduction
These Terms & Conditions form a legally binding agreement between PT Morning Wave International ('Company') and its B2B partners ('Agents'). By accessing or using our services, you acknowledge that you have read, understood, and agreed to these terms in full.
2. Scope of Services
PT Morning Wave International operates as a B2B travel consolidator offering air tickets, hotels, transfers, and other travel-related services. All products are sourced through global suppliers and GDS partners, strictly for resale to third parties and not to end consumers directly.
3. Agency Relationship
The relationship between PT Morning Wave International and Agents is that of an independent contractor. The Agent is not an employee, partner, or legal representative of the Company.
4. Booking, Payment & Credit Terms
All bookings are to be made through the official B2B platform or API. Payment must be made in advance via bank transfer or wallet balance. Any credit terms, if extended, must be supported by written agreement. The Company reserves the right to suspend service in case of default or misuse.
5. Pricing & Taxes
All rates are dynamic and subject to real-time availability. Prices may vary without prior notice. The Agent is responsible for any local taxes or fees applicable in their country.
6. Agent Obligations
Agents must ensure the accuracy of all booking information, maintain confidentiality of their login credentials, comply with anti-fraud and anti-money laundering (AML) laws, and adhere travel trade ethics.
7. Intellectual Property
All trademarks, logos, system interfaces, and software are proprietary to PT Morning Wave International. Unauthorized use or reproduction is prohibited under Copyright and Trademarks Law.
8. Confidentiality
All business and transaction data shared between the Company and Agent shall be treated as confidential and may not be disclosed to third parties without written consent.
9. Limitation of Liability
PT Morning Wave International shall not be liable for indirect, incidental, or consequential losses. Our liability shall be limited to the transaction value for which the claim is made.
10. Force Majeure
The Company shall not be held responsible for delays or failure in performance due to circumstances beyond its control, including natural disasters, strikes, or governmental restrictions.
11. Dispute Resolution
Any disputes shall be resolved amicably through negotiation.
